NEVADA STATE WOMEN’S GOLF ASSOCIATION, INC.
BYLAWS
ARTICLE I
Name
The name of this organization shall be the Nevada State Women’s Golf Association, Inc. (NSWGA).
ARTICLE II
Purpose
FIRST: To promote interest in golf for the women of the state of Nevada.
SECOND: To conduct golf tournaments as approved by the Association.
THIRD: To promote and foster among members a closer bond and fraternity for their joint mutual benefit, and to promote and conserve the best interests and true spirit of the game of golf as embodied in its ancient and honorable traditions.
FOURTH: To encourage conformance to the United States Golf Association (USGA) Rules of Golf.
ARTICLE III
Members
Section 1. Eligibility
All members of member clubs of Northern Nevada Women’s Golf Association and Women’s Southern Nevada Golf Association are eligible for membership in NSWGA.
Section 2. Requirements
FIRST: Member associations must agree to abide by the NSWGA Bylaws, Standing Rules, and accept and enforce all decisions of the Executive Board.
SECOND: Each association will pay $3.00 per year per individual member to NSWGA. Dues payments will be made on a timely basis.
ARTICLE IV
Executive Board
Section 1. Management of the affairs, funds and property of this Association shall be vested in the Executive Board.
A. The Executive Board shall have a total of twelve Directors, six from
each Association.
B. These Directors shall be elected or appointed by their respective associations.
1. Of the six delegates, the Associations will elect two delegates
annually as Directors of the Executive Board.
2. The Directors’ terms shall be for three years.
3. A Director is restricted to two consecutive terms (six years) and then must
wait at least one year to be considered eligible for election.
4. The Directors shall assume office at the beginning of the calendar year.
5. Each Director is entitled to one vote.
6. The immediate Past President shall serve as an advisor to the Executive
Board.
7. The Executive Board shall appoint a North and South Course Rating
Chairperson for a three year term. They may attend all meetings but
have no voting privileges.
ARTICLE V
Officers
Section 1. Officers of the Executive Board shall be determined by an annual election.
Section 2. Duties of Officers
A. President
1. Shall schedule all meetings
2. Shall abide by the Bylaws and Standing Rules
3. Shall supervise all affairs of NSWGA
4. Shall appoint all committees with the approval of the Executive Board
5. Shall present a written report and all files to her successor
B. Vice-President
1. Shall preside at all meetings in the absence of the President
2. Shall perform all other duties as directed by the President
3. Shall compile a player handbook and distribute no later than March 1
4. Shall present a written report and all files to her successor
C. Secretary
1. Shall record and distribute the minutes of all meetings
2. Shall send out notices of all meetings
3. Shall execute all correspondence as directed by the Association
4. Shall have custody of all Association permanent records
5. Shall present a written report and all files to her successor
D. Treasurer
1. Shall receive all funds of this Association
2. Shall deposit the funds in the bank
3. Shall keep an itemized account of all financial transactions
4. Shall pay all bills approved by the Executive Board
5. Shall prepare the books for audit at the end of the year
6. Shall present a projected budget for the coming year to the Executive
Board at the annual meeting
7. Shall file appropriate Internal Revenue forms
8. Shall present a written report and all files to her successor
E. Director of Tournaments - North
1. Shall supervise the planning of all NSWGA tournaments held in the North
2. Shall follow the Standing Rules adopted by the Executive Board
3. Shall appoint committees as deemed necessary
4. Shall present a projected tournament budget to the Executive Board for
approval at least sixty days in advance of the tournament
5. Shall present a written report and all files to her successor
F. Director of Tournaments - South
1. Shall supervise the planning of all NSWGA tournaments held in the South
2. Shall follow the Standing Rules adopted by the Executive Board
3. Shall appoint committees as deemed necessary
4. Shall present a projected tournament budget to the Executive Board for
approval at least sixty days in advance of the tournament
5. Shall present a written report and all files to her successor
G. Director of Rules and Handicaps - North
1. Rules
a. Shall appoint the Rules Committee for NSWGA tournaments held in the North
b. Shall appoint at least three qualified members to her committee and at least one shall be the Director of Rules from the South
2. Handicaps
a. Shall be responsible for obtaining the master printout of all current
handicap indexes
b. Shall be responsible for obtaining and verifying all current handicap
indexes for NSWGA tournaments held in the North
H. Director of Rules and Handicaps - South
1. Rules
a. Shall appoint the Rules Committee for NSWGA tournaments held in the South
b. Shall appoint at least three qualified members to her committee and at least one shall be the Director of Rules from the North
2. Handicaps
a. Shall be responsible for obtaining the master printout of all current
handicap indexes
b. Shall be responsible for obtaining and verifying all current handicap
indexes for NSWGA tournaments held in the South
I. Director of Junior Golf
1. Shall be the liaison between the Girls Junior Golf Programs and the
NSWGA
2. Shall assist in the promotion of Girls Junior Golf Programs
3. Shall assist the State Tournament Director to determine eligibility of Junior
Golf entries
J. Director of Future Sites - North
1. Shall search out possible golf courses for state tournaments in the North at least one year in advance of tournament dates
2. Shall present to the Executive Board all financial and other pertinent infor-
mation at least ten months in advance of tournament dates
3. Shall negotiate contracts with the golf courses after approval of the
Executive Board
K. Director of Future Sites - South
1. Shall search out possible golf courses for state tournaments in the South
at least one year in advance of tournament dates
2. Shall present to the Executive Board all financial and other pertinent infor-
mation at least ten months in advance of tournament dates
3. Shall negotiate contracts with the golf courses after approval of the
Executive Board
L. Director of Publicity/Historian
1. Shall report tournament results to the newspapers and magazines
2. Shall be responsible for pictures at all state tournaments and any other
state functions
3. Shall keep the state history up to date with pictures and information
4. Shall keep an accurate record of the holders of the perpetual trophies
ARTICLE VI
Meetings
Section 1. The annual meeting of the Executive Board shall be held in January of every
year.
Section 2. The election of officers shall take place at the annual meeting
Section 3. A meeting of the Executive Board may be held at each State Tournament.
Section 4. One more than half shall constitute a quorum.
Section 5. Special meetings of the Executive Board may be called by the President or at the written request of three State Directors or four Member Clubs.
Section 6. Should a Director be unable to attend a meeting, the respective association
shall appoint a proxy.
Section 7. Association members and guests are invited to attend meetings with prior
notice to the President.
ARTICLE VII
Parliamentary Authority
The rules contained in the most recent edition of Robert’s Rules of Order shall govern the NSWGA in all cases where they are not inconsistent with these bylaws and any special rules of order the NSWGA may adopt.
ARTICLE VIII
Amendment of Bylaws
Section 1. These Bylaws may be amended by a two-thirds vote of the Executive Board. Prior notice must be sent thirty days in advance to all Executive Board Members.
Section 2. Any changes in the financial structure must be approved by both Associations. Prior written notice must be sent thirty days in advance of the proposed change.
ARTICLE IX
Dissolution of Nevada State Women’s Golf Association Corporation
Section 1. A voluntary transfer for value of all, or substantially all, of the assets of this corporation, if the corporation is not insolvent, must be approved in the matter required for discussion.
Section 2. A voluntary transfer for less than full or valuable consideration of all, or substantially all of the assets of this corporation shall be void unless such transfer is to another I.R.C. Section 501(c)(4) organization which is organized with purposes substantially the same as this corporation.
